When registering for branch establishment, you need to choose between two accounting options: dependent accounting and independent accounting.
The service fees depend on the accounting option, seal needs for the branch, and the scope of branch establishment, as follows:
❖ Establishing a dependent branch within the same province as the headquarters
Service fee: 700,000 VND (including branch business registration certificate)
Note: For this option, the branch should consider the following procedures:
Regarding Personal Income Tax (PIT):
- If the employee signs a labor contract, registers for dependent deduction with the headquarters, and works at the branch, the company will pay salaries and report PIT;
- If the employee signs a labor contract, registers for dependent deduction with the branch, the branch will report PIT.
The dependent branch within the same province is not required to submit Corporate Income Tax (CIT) declarations and financial reports.
❖ Establishing a dependent branch in a different province from the headquarters
Service fee: 900,000 VND (including branch business registration certificate and separate branch seal)
Note: For this option, the branch should consider the following procedures:
Regarding generating or non-generating revenue:
- If the branch directly conducts commercial transactions: The branch will report and pay business license tax, VAT at the Tax Department managing the branch;
- If the branch doesn’t conduct commercial transactions, with no generated revenue, it will compile data and documents incurred during the period and report them at the headquarters. The company is responsible for notifying the tax authorities.
Regarding Personal Income Tax (PIT): The same considerations apply as for the dependent branch within the same province as the headquarters.
The dependent branch in a different province must submit CIT declarations and financial reports together with the headquarters.
