Documents and procedures for notifying changes in business lines

The dossier and procedures for notifying changes to business lines are carried out in accordance with the provisions of the Enterprise Law 2020, Decree 168/2025/ND-CP, Circular 68/2025/TT-BTC.

1. What are business lines?

Business lines are economic sectors classified according to Decision 36/2025/QD-TTg on the Vietnam Standard Industrial Classification, issued by the Prime Minister.

When notifying a change in business lines, the enterprise founder or the enterprise selects a four-digit economic sector in the Vietnam Standard Industrial Classification to record the business lines in the enterprise registration dossier. The business registration authority guides, cross-checks, and records the enterprise’s business lines in the National Business Registration Database.

For conditional business lines specified in other legal normative documents, the business lines shall be recorded according to the lines specified in those legal normative documents.

For business lines not included in the Vietnam Standard Industrial Classification but specified in other legal normative documents, the business lines shall be recorded according to the lines specified in those legal normative documents.

In case the enterprise wishes to record business lines in more detail than the four-digit economic sector, the enterprise shall select a four-digit economic sector in the Vietnam Standard Industrial Classification, then record the detailed business lines of the enterprise under the four-digit economic sector, but must ensure that the detailed business lines of the enterprise are consistent with the selected four-digit economic sector. In this case, the enterprise’s business lines are the detailed business lines recorded by the enterprise.

2. Dossier and procedures for notifying changes to business lines for companies and enterprises

According to the provisions of Article 49 of Decree 168/2025/ND-CP, the dossier and procedures for notifying changes to business lines are as follows:

2.1. Dossier for notifying changes to business lines for companies and enterprises

– Request for notification of changes to enterprise registration content (Form No. 12 Appendix I) issued together with Circular 68/2025/TT-BTC;

– Resolution or decision of the Members’ Council on changing business lines (for limited liability companies with two or more members, partnerships);

– Resolution or decision of the General Meeting of Shareholders on changing business lines (for joint-stock companies);

– Resolution or decision of the company owner on changing business lines (for single-member limited liability companies).

2.2. Method of execution

The enterprise founder or enterprise or authorized person shall carry out enterprise registration procedures using the following methods:

– Registering an enterprise directly at the Business Registration Office;

– Registering an enterprise via postal service;

– Registering an enterprise online via the National Enterprise Registration Portal.

2.3. Resolution time

After receiving the enterprise registration dossier, the provincial Business Registration Authority shall issue a dossier receipt and schedule a return date for the applicant.

Within 03 working days from the date of receiving the dossier, the provincial Business Registration Authority shall examine the validity of the dossier and the market access conditions for market-restricted business lines for foreign investors as prescribed by investment law, and update information on the enterprise’s business lines in the National Business Registration Database; if the dossier is not valid, the provincial Business Registration Authority shall notify the enterprise in writing of the contents needing amendment or supplementation. If the enterprise requests, the provincial Business Registration Authority shall issue a Certificate of Change in Enterprise Registration Content to the enterprise.
